THE “TOOL UP WITH SAVINGS” BUNDLING PROMOTION RULES AND REGULATIONS

The 2021 Tool Up with Savings Bundling Promotion for rigs, parts & consumables bundling (the “Promotion”) is sponsored by Epiroc USA LLC (“Sponsor”). As a condition of participating in the Promotion, you agree to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor, whose decisions shall be final and binding in all respects, and to waive any right to claim ambiguity in the Promotion, these Official Rules, any advertising materials or information contained on Sponsor’s social media and websites. The Promotion is subject to applicable federal, state, and local laws and regulations and is VOID WHERE PROHIBITED OR RESTRICTED BY LAW. Receiving a Promotional Bundling Offer (as defined below) is contingent upon fulfilling all requirements set forth herein.

Start and End Date. The Promotion starts at 8 am Eastern Standard Time (“EST”) May 6, 2021 and ends at 11 pm EST on July 31, 2021 (“Promotion Period”). All requests for Promotional Bundling Offers must be submitted at https://www.miningandconstructionusa.com/tool-up-2021 or to an Epiroc Representative by 11 pm EST on July 31, 2021.

Eligibility. End-users of Epiroc equipment who are: (1) of twenty-one (21) years of age and older; (2) are a resident of the United States; and (3) are currently living in the U.S. (each a “Customer Representative”) may receive the At-Purchase promotional offer (as defined below) upon completion of the Promotion terms and conditions, which consists of purchasing an Epiroc surface Drill Rig with a matching Drill String (drilling consumables from the drifter or rotary head down through the bit). The models included in the Promotion are Epiroc SmartROC, FlexiROC or PowerROC surface drill rig for construction and/or quarrying, in any configuration.

THE PROMOTION IS SUBJECT TO FINAL EPIROC APPROVAL AND ADDITIONAL TERMS AND CONDITIONS. PLEASE SPEAK WITH AN EPIROC REPRESENTATIVE FOR COMPLETE DETAILS REGARDING THE PROMOTION.

How to Qualify for At-Purchase Offer. During the Promotion Period and while supplies last, a Customer Representative may visit https://www.miningandconstructionusa.com/tool-up-2021 and enter their information and that of their employer, which utilizes Epiroc equipment (the “Customer”) or complete a Tool-Up Promotion Purchase Order form provided by Customer’s Epiroc Representative and submit the form to the Epiroc Representative.

A Qualifying Transaction includes the purchase or rent-to-own purchase of any new or used Epiroc SmartROC, FlexiROC or PowerROC drill rig AND purchase of an Epiroc Drill String (Full Carousel of Drill Steel, Starter Steel, DTH Hammer if applicable and Drill Bit) . Purchases can be made with cash, via Epiroc payment terms or through internal or external financing. To qualify for the savings in Schedule A, the purchase of the Drill Rig and the Drill String should be ordered within the same invoice.

Restrictions. Limit one (1) Promotion per Customer Representative whose employing Customer meets qualifications for At-Purchase Offer. Only one (1) Customer Representative for each Customer is eligible. No Promotion transfers, substitutions or cash equivalents will be offered, except at the sole discretion of the Sponsor. The Promotion offer is only valid while supplies last. Per Promotion term, end customer qualifying invoices must be dated between May 6, 2021 and July 31, 2021.

At-Purchase Offer. Special bundling discount – a $1,500 coupon for purchase of spare parts – is offered at the time of purchase and can be applied to any SmartROC, FlexiROC or PowerROC parts order of any value. One coupon per transaction. Discount not valid for any other capital or consumables purchases. The coupon can be combined with other discounts and promotional offers. The coupon expires on December 31, 2021.

Customers can select any SmartROC, FlexiROC or PowerROC spare parts. Parts are not limited to maintenance / high wear items. Any part used on SmartROC, FlexiROC or PowerROC drill rigs qualifies for the bundling. Should customer have other SmartROC, FlexiROC or PowerROC drills in their fleet, any matching part will qualify for the bundling campaign.

For Direct customers, qualifying purchases discount will be given at time of sale.

Financing through Epiroc Financial Services USA LLC (“EFS”) qualifies to financing up to 15% of the capital purchase in spare parts and consumables, subject to Epiroc and EFS approval in their sole discretion, including based on Customer credit approval.
The delivery terms for the consumables and spare parts are at Sponsor’s discretion and all consumables are provided AS-IS. The financing savings are based on EFS Q2 2021 rates: 12 months @ 6 %; 24, 36, 48 or 60 months @ 4.35% subject to credit approval in Epiroc/EFS’s sole discretion. The financing offer may not be used with a different purchase and the Promotion offer is non-transferrable. If the consumables / spare parts package becomes unavailable, Sponsor reserves the right to substitute an offer of equal or greater value. No trade-ins are allowed.

ALL SPECIAL FINANCING FOR CUSTOMERS OR EPIROC DISTRIBUTORS ARE SUBJECT TO AN EPIROC AGREEMENT WHICH INCLUDES CREDIT APPROVAL.

Liability Disclaimer. As a condition of participating in the Promotion, Customer agrees that: (1) Sponsor is not responsible for Promotion request submissions not forwarded by participating individuals, or Promotion request submissions that are lost, late, illegible, misdirected, damaged, or incomplete; (2) Sponsor is not responsible for any damages or liabilities resulting from the Promotion or the acceptance and use of the At-Purchase Offer; (3) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any At-Purchase Offer, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration; and (4) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees.

The special bundling discount (a $1,500 coupon for purchase of spare parts) will be applied as credit to a customer account at the time of purchase and needs to be redeemed by December 31, 2021. One coupon per transaction.

Discount not valid for any other capital or consumables (subs/rod/steel/pipe, couplers, DTH Hammers, bits, deck bushings, lifting bails, thread grease, breakout baskets, etc.) purchases.
